Terms of Service

These Terms of Service ("Terms") govern your access to and use of the NetX 360 platform, website, and related services (collectively, the "Services") provided by NetX 360 ("Company," "we," "us," or "our"). By accessing or using our Services, including the netx360 login portal, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

⚠️ Important: These Terms contain a binding arbitration agreement and class action waiver. Please read carefully.

1. Eligibility

Our Services are intended for financial advisors, investment professionals, and accredited investors who are at least 18 years of age. By using our Services, you represent that you have the legal capacity to enter into a binding agreement and that you will comply with all applicable laws and regulations.

2. Account Registration and Security

To access certain features (such as netx360 login, portfolio management, and trading), you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security and confidentiality of your login credentials.
  • Immediately notify us of any unauthorized access or breach of security.
  • Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.

3. Use of Services

You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services for any illegal activity, including fraud, money laundering, or unauthorized trading.
  • Reverse engineer, decompile, or attempt to extract source code from our platform.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Access data not intended for you, including other users' accounts without authorization.
  • Use automated scripts or bots to interact with the platform without our prior written consent.

4. Intellectual Property

All content, features, and functionality of the Services, including but not limited to software, design, text, graphics, logos, and trademarks ("NetX 360," "NetX 360 Plus"), are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our explicit permission.

5. Financial Information and Disclaimers

The Services provide tools for portfolio management, analytics, and trade execution. However:

  • We do not provide investment advice, tax advice, or legal advice. All investment decisions are your sole responsibility.
  • Past performance does not guarantee future results. Market data and analytics are provided for informational purposes only.
  • We are not a broker-dealer or registered investment advisor unless explicitly stated in a separate agreement.

You acknowledge that trading and investing involve significant risk, and you assume full responsibility for all actions taken through the platform.

6. Fees and Payments

Access to NetX 360 and NetX 360 Plus may be subject to subscription fees, transaction fees, or other charges as disclosed on our pricing page or in your service agreement. All fees are non-refundable unless otherwise required by law. We reserve the right to modify fees with 30 days' advance notice.

7. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, including for violation of these Terms. Upon termination, your right to use the Services ceases immediately. You may terminate your account by contacting support. Sections that by their nature should survive termination (including intellectual property, disclaimers, indemnification, and arbitration) will remain in effect.

8. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

To the maximum extent permitted by law, NetX 360 shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, even if advised of the possibility of such damages. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless NetX 360 and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your misuse of the Services, or your violation of any applicable law.

10. Arbitration and Class Action Waiver

Any dispute arising from these Terms or your use of the Services shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. You agree to waive the right to participate in a class action, class arbitration, or representative action. The arbitration shall take place in New York, NY, and judgment on the award may be entered in any court having jurisdiction.

11. Governing Law

These Terms shall be governed by the laws of the State of New York, without regard to its conflict of law principles.

12. Modifications to Terms

We may revise these Terms from time to time. Material changes will be communicated via email or a prominent notice on the platform. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
